Office (RO) is established by foreign companies to engage in business liaisons,
quality control, product promotion, market research, exchange of technology and
other permitted activities in China.
Beijing Representative Office Registration-Features of a
Representative Office
1. Legal status and Business scope of Beijing
representative office
The
Representative Office has no qualification of a legal entity, is not allowed to
directly engage in operational activities, as shown in the Business License of
ROs, that a RO should not engage in direct operational activities, such issue
invoices on its own, remitting outward, signing sales or purchase contracts, or
receiving income from services performed but may act as business liaison, product
promotion, market research, exchange of technology for its parent company.
2. Name of Beijing representative office
The name of
the Representative office should be in the form of "Name of the Enterprise
+ Name of the City + Representative Office (or Office)".
3. Min-registered capital of Beijing representative office
No requirement
on the capital for the establishment of a RO
4. Financial services for Beijing representative office
The RO may
open account in bank and accept the payment from the parent companies overseas.
However, the remittance can only be used for the day-to-day expenses. They are
not allowed to open L/C account in bank and to accept other more extensive
financial services
5. Business Address of Beijing representative office
The business
address must be located in commercial buildings approved by the government.
6. Employed staff for Beijing representative office
Cannot employ
the staff directly, which must be processed through a third-party intermediate
agencies with relevant qualifications.
Beijing Representative Office Registration-Documents
required for application
1. Enterprise
country (region) issued by the registration authority surviving more than two
years of legal practice certificate (copy) and the dispatched enterprises do
business with financial institutions to issue credit certificate (original),
and need to be notarized by the country (region) notarial authority and the
embassies or consulates stationed in the country (region) of the People's
Republic of China on certification;
2.On behalf of
Hong Kong, Macao and Taiwan region submitted sent the enterprise's legitimate
business certificate (copy) and the dispatched enterprises do business with
credit certificate (the original) issued by the financial institutions need to
notarization, authentication;
3.Hong Kong special administrative region of the co., LTD., to be submitted at the same time Hong Kong issued by the tax authorities within the period of validity of the business registration certificate copy.

6.5 copies of
photos – size one inch (each representative);
7.Proof of
address (address must be in Beijing commercial housing);
8.By Chinese
citizens as a chief representative or representative, shall be submitted to

affairs service unit;

enterprises need to set up more than two years;

application signed by the chairman of the board of directors or general manager

resident office, the chief representative and representatives, representative
organization business scope, in the period);
3, dispatched
enterprises signed by the chairman of the board of directors or general
manager, chief representatives and representative appointment letter (or
delegate);
4, specify
(delegate) book;
5, the
secretary for enterprises (contact) registration form;
6, sets up the
authorized representative.
