Hong Kong Representative Office is for foreign company to undertake promotional and liaison activities on behalf of its parent company.The Hong Kong Representative Office is directly or on behalf of its parent company, must not be engaged in business, conclude contracts, provide consultancy for a fee, undertake transshipment of goods, or open or negotiate any letters of credit. The purpose of setting a representative office is to conduct marketing research and development in Hong Kong on behalf of its parent company. No commercial profit under this company.
Advantages of Hong Kong Representative Office
1. Representative Offices need not be registered with the Companies Registry
2. No minimum capital requirements
3. No compliances like filing tax returns or maintaining any statutory documents.
4. A representative office is not required to file any financial report or maintaining accounts to any government authorities in Hong Kong
5. Allow to appoint a member from parent company to manage the Hong Kong office
6. Only required to register with the Inland Revenue Department and obtain a Business Registration certificate.
Disadvantages of Hong Kong Representative Office
1. Cannot engage in any profit making activities, enter into any contracts with third party for commercial profit, and etc
2. A Representative Office has no legal standing or recognition and the parent company bears implicit liability for all the actions of the Representative Office.
