Time to lodge annual return to Suruhanjaya Syarikat Malaysia (SSM)
The annual return signed by a director or by the manager or secretary of the company shall be lodged with the Suruhanjaya Syarikat Malaysia (SSM) every year 13th month. If an annual return is not filed by the due date the company will have corresponding offence and there will also have the risks being removed from the register as the Registrar may be satisfied that the company has ceased to carry on business.
The annual return will be including all of the following information:
i) Business office address;
ii) Branch office address;
iii) Registered office address;
iv) Principal business activities;
v) Total authorized capital;
vi) Total paid-up capital;
vii) Charges registered with SSM;
viii) Company directors;
ix) Company secretary;
x) Shareholders.
The annual return also must include:
i) a copy of the last audited accounts comprising the balance sheet and profit and loss accounts certified by a director, manager or secretary of the company (including every document required to be attached thereto); and
ii) certified copy of the auditor’s report.
