What is Authorized Capital?

The Authorized Capital of a company (sometimes referred to as nominal capital) is defined, at times, as registered capital of a company in Malaysia. This is the maximum amount of the share capital in which a private limited (“Sdn Bhd”) company is allowed to issue to its shareholders.

Every Company needs to register its authorized capital upon its incorporation with SSM. The amount of authorized capital will be stated in the Memorandum of Association of every Company.

Registration fee for Authorized Capital

Subject to the respective registration fee payable to SSM, every Company is allowed to register any amount of authorized capital, or to increase its authorized capital at any other time, with SSM.

Why should I increase my company’s paid-up capital?

Normally, there are FOUR (4) REASONS where the company may find itself in the situation whereby it needs to increase its paid-up capital:
