A company director is a
member of a permanent establishment of a company that represents the company
externally and performs business internally. The person holding the position of
director can be a natural person. In addition, the company's directors will be
dismissed in these cases, such as: violation of the shareholders' meeting
resolutions; share transfer and resignation; other circumstances such as
dissolution or death of directors, bankruptcy of the company, loss of
directors' ability to act. However, the director of Malaysia Limited Company is
required to provide more than one director, who can also serve as a
shareholder. At least one director must be a Malaysian resident or a foreigner
holding a visa for Malaysia for more than six months.
1. Requirements
of Directors of Malaysia Limited Company
i.
Act as a person, not a company or
an organization;
ii. Above 18 years old;
iii. Do not have mental disability；
iv. Person who have not lost their
qualifications under the law.
2. Those
who are involved in the following matters cannot become directors:
i.
A person who is under bankruptcy
ii. A person convicted of a crime in
establishing or managing a company
iii. A person imprisoned for more than
three months for fraud or dishonesty
